HealthShield Credentialing, LLC provides Services to facilitate more efficient connections, communication, transfer of information, and other engagement between healthcare professionals, employers and agencies.
By using our Services, you are agreeing to be bound by the following terms and conditions (“Terms”, “Terms of Service”). These Terms apply to all visitors, users and others who wish to access or use our Services. These Terms are effective immediately.
The words “we”, “our”, or “us”, are referring to HealthShield Credentialing, LLC. When we say “you” or “your”, we are assuming you use our Services.
Our Privacy Policy also governs your use of our Services and explains how we collect, protect and disclose information that results from your use of our Services. We take your privacy very seriously. Please read our Privacy Policy to learn more.
Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood the Agreements, and agree to be bound by them.
If you do not agree with (or cannot comply with) Agreements, you may not use our Services. In such a case, please let us know by emailing at [email protected] so we can try to find a solution.
Please know that we reserve the right to suspend and/or terminate your account if (at our sole discretion) you violate or do not abide by any of these Terms for the protection of our users.
1. When you create an account with us, you must provide your full legal name, a valid email address, and any other information requested in order to complete the account signup and creation of your profile. You guarantee the information you provide us is accurate, complete, and current at all times. Information to create your account that is inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Services.
2. You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
3. Your personal identifiable information will only be shared with express consent from that user.
4. Your login may only be used by one person. Sharing login information is prohibited.
5. You alone are responsible for all content posted and activity that occurs under your account.
6. You may not post content that is deemed offensive, vulgar, defamatory, fraudulent, or obscene.
7. You may not use Service for any illegal purpose or to violate any laws (including but not limited to copyright laws).
8. You must be a human. Accounts registered by automated methods are not permitted.
Fee and Payment Terms
By creating an account, you agree to the costs and payment terms listed for Services at the time of creating your profile.
The price stated for the service excludes all applicable taxes and currency exchange settlements, unless stated otherwise. You are solely responsible for paying such taxes or other charges. We may suspend or cancel the services if we don’t receive an on time, full payment from you. Suspension or cancellation of the services for non-payment could result in a loss of access to and use of your account and its content.
To pay the charges for a service, you will be asked to provide a payment method at the time you sign up for that service. You can access and change your billing account information and payment method directly through the payment network used by HealthShield Credentialing, LLC for invoicing.
Additionally, you agree to permit HealthShield Credentialing, LLC to use any updated account information regarding your payment method provided by your issuing bank or the applicable payment network.
You agree to keep your billing account information current at all times. Changes made to your billing account won’t affect charges we submit to your billing account before we could reasonably act on your changes to your billing account.
We will issue refunds at our discretion and according to the terms set forth. We will be fair and reasonable. If you feel you deserve a refund, let us know by emailing at [email protected] so we can try to find a solution.
Fee Changes
- We may modify Fees at our sole discretion and at any time.
- We will provide you with a reasonable notice prior to any Fee changes. You have the discretion to terminate your account before such changes become effective.
- Your continued use of Services after the Fee change comes into effects constitutes your agreement to pay the modified Fee amount.
Content
Content includes anything you upload to, store on, or transmit through our Services, such as data, documents, photos, video, email and instant messages (“Content”). You are responsible for the Content that you post on or through using Services, including its accuracy, legality, reliability, and appropriateness. You alone are solely responsible for the consequences of posting Content on or through Services, and acknowledge that we are not responsible for your Content in any way.
- Content is yours (you own it) and/or you have the right to use it.
- The posting of your Content on or through the use of our Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity.
- We reserve the right to terminate the account of anyone found to be infringing on a copyright.
- You retain any and all of your rights to any Content you submit, post or display on or through Services and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party posts on or through Services. However, by posting Content using Services you grant us the right to use, modify, display, reproduce, and distribute such Content on and through Services as outlined in our Privacy Policy.
- In addition, Content found on or through Services are the property of HealthShield Credentialing, LLC or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.
Prohibited Uses
You may use Services only for lawful purposes and in accordance with Terms. You may not access or use our Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Site, you agree not to:
- Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site and/or the Content obtained therein.
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.
- Use any information obtained from the Site in order to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Site in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to the Site.
- Use any device, software, or routine that interferes with the proper working of Services.
- Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
- Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
- Delete the copyright or other proprietary rights notice from any Content.
- Attempt to impersonate another user or person or use the username of another user.
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
- Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
- Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
- Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
- Except as may be the result of standard search engine or internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
- Use a buying agent or purchasing agent to make purchases on the Site.
- Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
- Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise.

We may use third-party service providers to monitor and analyze data from the use of our Services.

Electronic Communications, Transactions, and Signatures
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. By creating an Account on our Services, you agree to subscribe to feature change notifications, communications about your Account, marketing or promotional materials, and/ or other information we may send. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You may opt out of receiving any, or all, of these communications from us by using the unsubscribe link or by emailing us directly at [email protected].
Term and Termination
These Terms of Use shall remain in full force and effect while you use the Site. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION, WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SITE OR DELETE ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
Modifications to Services
We reserve the right to change, modify or withdraw the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.
We cannot guarantee the Site will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance to change, revise, suspend, discontinue, or otherwise modify the Site at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance of the Site. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.
Corrections
There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.

Limitations of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US. CERTAIN US, STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF COMPANY, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

BY USING OUR SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
